·         You grant Afupay a worldwide, non-exclusive, royalty-free, fully paid, perpetual, irrevocable, sublicensable, and transferable license to use, host, display, publish, reproduce, adapt, modify, and distribute your User Content in connection with the operation and promotion of the Service.

Afupay does not claim ownership of your content but reserves the right to remove, edit, or disable access to any User Content at its sole discretion, with or without notice, especially if it violates these Terms or any applicable law.

You acknowledge that Afupay is not obligated to pre-screen content, but may do so to ensure platform integrity and regulatory compliance.

Intellectual Property

Disclaimers and Limitation of Liability

Afupay’s total liability for any claim under these Terms shall not exceed the greater of:

·         The amount paid by you (if any) to use the Service in the six (6) months preceding the event giving rise to the claim; or

·         One hundred U.S. Dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Indemnification

If a dispute cannot be resolved informally, you and Afupay agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or equitable relief as set forth below) through binding arbitration administered by a reputable arbitration provider (such as the American Arbitration Association or LCIA) under its applicable rules.

·         The arbitrator’s decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

c. Class Action Waiver

You agree that any dispute or arbitration proceeding shall be conducted solely on an individual basis and not as a class, collective, or representative action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration.

d. Exceptions

Notwithstanding the above, either party may seek temporary or permanent injunctive relief in a court of competent jurisdiction to prevent the unauthorized use of intellectual property, platform misuse, or breaches of confidentiality.

Governing Law

These Terms and your use of Afupay.com shall be governed by and construed in accordance with the laws of the jurisdiction in which Afupay is legally incorporated and headquartered. This governing law shall apply without regard to any principles of conflicts of law.
